1. Definitions
1.1 “Agreement” means this legally binding contract between the parties.
1.2 “Party” refers to each party to this Agreement.
1.3 “Services” means the services to be provided by the Service Provider as outlined in this Agreement.
2. Term
2.1 This Agreement shall commence on the Effective Date and shall continue until terminated by either Party in accordance with the provisions herein.
3. Scope of Services
3.1 The Service Provider shall provide the Services as described in Exhibit A attached hereto.
4. Payment Terms
4.1 The Client shall pay the Service Provider the agreed-upon fees as set forth in Exhibit B within 30 days of receipt of an invoice.
5. Confidentiality
5.1 The Parties agree to keep confidential any proprietary or confidential information disclosed during the term of this Agreement.
6. Governing Law
6.1 This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
7. Entire Agreement
7.1 This Agreement, including any attached exhibits, constitutes the entire agreement between the Parties and supersedes all prior negotiations and understandings.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date.
